CHAPTER BY-LAWS

 

ARTICLE I

 

NAME AND OBJECTIVES

 

SECTION 1. NAME. The name of the association shall be: PHILIPPINE INSTITUTE OF CERTIFIED PUBLIC ACCOUNTANTS - DUBAI CHAPTER, DUBAI, UNITED ARAB EMIRATES.

 

SECTION 2. OBJECTIVES. The objectives for which such association is organized are;

 

a)        To enable the accountancy profession to discharge its public responsibilities more actively;

b)        To promote and maintain high professional standards in the accountancy profession;

c)        To develop among members high ideals of competence, ethical conduct, integrity and civic consciousness;

d)        To foster cordial, harmonious and fruitful relations among its members;

e)        To protect and enhance the integrity of the certificate of registration of the Certified Public Accountant.

 

ARTICLE II

 

SEAL

 

SECTION 1. SEAL. The seal of the Chapter shall be the same as the seal prescribed by the National Organization of the Philippines Institute of Certified Public Accountants.

 

 

ARTICLE III

 

OFFICE

 

SECTION 1. OFFICE. The principal office of the Chapter shall be located in Dubai, United Arab Emirates with business address at Post Office Box 4960 Embassy of the Republic of the Philippines, Office of the Labour Attache, Dubai.

 

ARTICLE IV

 

ORGANIZATION

 

SECTION 1. ORGANIZATION STRUCTURE. The Chapter organization shall be composed of, but not limited to, the following areas in the United Arab Emirates:

 

1.                  Dubai including Jebel Ali Free Zone;

2.                  Northern Emirates (Sharjah, Ajman, Um Al Quain, Fujairah, Ras Al Kaimah)

 

ARTICLE V

 

MEMBERSHIP

 

SECTION 1. QUALIFICATIONS. All Certified Public Accountants whose names appear in the Registry of the Professional Regulation Commission and are working or residing in the United Arab Emirates are qualified to be admitted as members of the chapter.

 

SECTION 2. REGISTRATION. Unless he has already previously registered with the PICPA, every CPA heretofore admitted by the Professional Regulation Commission shall register at the National Office or at the office of the chapter.

 

SECTION 3. CERTIFICATE OF MEMBERSHIP. It shall be the duty of every CPA, qualified under section 1 of this Article, to submit to the Chapter, his curriculum vitae which shall include his permanent residence and place of office, as the basis for issuance of a certificate of Membership in an application form provided by the PICPA National Board of Directors.

 

SECTION 4. GRANTING OF CERTIFICATE OF MEMBERSHIP. Every member of the chapter shall be admitted to a Certificate of Membership upon verification of his qualifications by the PICPA National Board of Directors and upon payment of the required dues prescribed in these by-laws and after taking the membership pledge as provided in Section 5 hereof.

 

SECTION 5. MEMBERSHIP PLEDGE. Every Certified Public Accountant, entitled to a certificate as above provided, take the PICPA Membership pledge before any national, regional or chapter officer, at any meeting of members or in any national, regional or chapter office. The Certificate of Membership shall thereupon be issued to him.

 

SECTION 6. CLASSIFICATION OF MEMBERS. Chapter members shall be classified into active and sustaining life members.

 

SECTION 7. ACTIVE MEMBERS. Active members shall apply to those who become members of PICPA pursuant to Sections 1 and 2 of the PICPA’s amended Articles of Incorporation.

 

SECTION 8. SUSTAINING LIFE MEMBERS. Any active member who pays an amount determined by the PICPA National Board of Directors may be granted Sustaining Life membership and shall have all the rights, privileges and responsibilities of an active member, except the payment of the annual membership dues.

 

SECTION 9. MEMBER IN GOOD STANDING. A member in good standing as of any particular date is an active member whose membership dues are fully paid as of such date. A member in good standing shall also include sustaining life members who are exempt from further payment of annual membership dues.

 

SECTION 10. MEMBERSHIP DISPUTE. Any dispute on membership, question thereon, including issues on chapter affiliation of members shall be resolved by the Membership Committee of the National Organization, subject to the confirmation of the PICPA National Board of Directors.

 

ARTICLE VI

 

TERMINATION AND REINSTATEMENT OF MEMBERSHIP

 

SECTION 1. LOSS OR SUSPENSION OF MEMBERSHIP. Since membership of PICPA may be a condition to the continuing validity of the certificate of Registration of Certified Public Accountants, loss of membership in PICPA may be a sufficient cause for the revocation of the Certificate of Registration as a Certified Public Accountant by the Professional Regulation Commission.

The Chapter shall adopt the rules prescribed by the PICPA National Board of Directors concerning the suspension or loss of membership, and for the reinstatement of members.

 

SECTION 2. VOLUNTARY TERMINATION OF MEMBERSHIP. Any member may resign from the membership in the chapter by notice in writing submitted to the Chapter Secretary provided that, such resignation shall be effective as of the date fixed in said notice, subject to the acceptance by the Chapter council which shall be given within thirty (30) calendar days from receipt of said notice.

 

The voluntary termination of membership set forth above shall not be understood as termination of membership with PICPA. This type of membership termination shall be communicated directly to the National Office of the PICPA.

 

SECTION 3. FAILURE TO PAY DUES OR OTHER ACCOUNTS. Any member whose dues or other accounts remain unpaid after the prescribed last day of payment as provided in Section 3 of Article XIII shall automatically be dropped from the membership roster of the Chapter upon the expiration of sixty (60) calendar days from the date the notice to that effect is sent via messenger of registered mail, unless payment is effected prior to the expiration of the sixty (60) calendar days period.

 

Termination of membership shall not free the said member from any of his previous other obligations and/or accountability to the institute or chapter.

 

The Chapter Council shall report to the National Board for action, a list of members for membership termination.

 

SECTION 4. REINSTATEMENT OF MEMBERSHIP. Only upon payment of all dues in arrears and/or obligations, shall the Chapter Council approve the reinstatement of members to his bonafide membership status.
